The departure of one of our Deputy Corporate Secretaries has created a vacancy in the Corporate Office team. Would you like to support governance excellence, coordinate board activities and foster stakeholder relationships at Triodos Bank? Deputy Corporate Secretary

32-40 hours per week

What’s your focus

  • as Deputy Corporate Secretary you will support the preparation of the weekly Executive Board meetings, the bimonthly meetings of the Supervisory Board and its committees, the annual General Meeting of Shareholders and/or meetings of the Stichting Administratiekantoor Aandelen Triodos Bank (SAAT), as allocated in close cooperation with the Corporate Secretary, your fellow Deputy Corporate Secretary, the Corporate Secretary of SAAT, and the Board Coordinators
  • as such, you coordinate and prepare board meeting materials such as agendas, minutes, resolutions, and action lists including follow-up of action items and internal communication of decisions
  • review cover notes to memos and/or presentations to be tabled at Executive- and Supervisory Board meetings, enhancing the quality of the decision-making process during the meetings
  • tactfully interact with (delegates of) the members of the Executive- and Supervisory Board on diverse matters and handle their requests
  • contribute to keeping the rolling agenda of the Executive- and Supervisory Board meetings (and its committees) up to date from a legal and corporate governance perspective
  • liaise with stakeholders to ensure compliance with standards and codes
  • coordinate and support the onboarding processes for (candidate) Board members
  • coordinate the Permanent Education scheme for the Boards
  • assist in drafting the Supervisory Board report (part of the Annual Report of Triodos Bank) and prepare and coordinate the annual self-evaluation of the Boards

To be successful in this role, you will have:

  • professional with relevant experience (+ 4 yrs) as a (deputy) corporate secretary, and/or experienced (inhouse) lawyer and are motivated to work at a top-level, widely spread work environment to ensure good governance (in the broadest sense of the work)
  • the ability to work and think at an academic level
  • interest in corporate governance
  • are honest, trustworthy and able to work with highly confidential information. Due to the nature of the position, integrity, organisation sensitivity, and understanding of governance relationships are essential
  • are proactive and hands-on, self-motivated, and flexible
  • work independently whenever needed
  • are well-organised and able to prioritise
  • have excellent verbal - and written communication skills in Dutch and English
  • communicate easily, and have developed organisational skills
  • are a team player with a positive attitude and the ability to manage expectations

Wat we bieden

The team

You become part of the Corporate Office and you report to the Corporate Secretary. The Corporate Office team includes two Deputy Corporate Secretaries (one of which is you), two Board Coordinators and the Business Manager to the CEO. You will be given considerable responsibility and autonomy while being fully integrated into the team. Furthermore, the Corporate Office team members work closely together with the colleagues of the Legal department and other departments.
